Terms of Service

1. Agreement

These Terms of Service are between you and Orderprise LLC, 18549 Pines Blvd, Suite 308, Pembroke Pines, FL 33029 (contact: dms@orderprise.com), and govern your access to and use of the Orderprise marketing site, public demo, and application (the “Service”). By using the Service you agree to these terms. If you are using the Service on behalf of a company, you represent that you are authorized to bind that company. A signed service agreement between your company and Orderprise LLC controls where it differs from these terms.

2. The Service

Orderprise provides software that reads invoices, intakes orders, tracks supplier pricing, detects errors, and syncs data to your accounting system. Features, pricing, and availability may change as the product evolves.

3. Accounts and access

• Access is granted per user and controlled by your workspace’s administrator. You are responsible for activity under your account.
• You must provide accurate information and keep your credentials secure.
• We may suspend access that violates these terms or that threatens the security or integrity of the Service.

4. Acceptable use

• Do not use the Service unlawfully, or to store or transmit unlawful, infringing, or harmful content.
• Do not attempt to breach security, access data you are not authorized to access, or disrupt the Service.
• Do not reverse engineer, copy, resell, or create derivative works of the Service except as permitted by law.

5. Your data

• You own your business data. You retain all rights to the data you and your team put into the Service (“Customer Data”); you grant us only the limited rights needed to operate the Service for you.
• Customer Data is walled per customer and never shared between customers.
• Orderprise does not sell Customer Data and does not use Customer Data to train AI models.
• On termination you receive a full export of your Customer Data, and we delete it within 30 days of a verified request.
• Subprocessors that help deliver the Service: Airtable, Vercel, Stripe, Intuit QuickBooks, Telnyx, Anthropic, and Google sign-in.
• You are responsible for the accuracy and lawfulness of your Customer Data and for having the rights to submit it.

6. Intellectual property

The Service, including its software, design, interfaces, and content (but excluding Customer Data), is owned by Orderprise and its licensors and is protected by copyright and other laws. Orderprise and the Orderprise flow logo are trademarks of Orderprise. Nothing in these terms transfers ownership of the Service to you; you receive only a limited, non-exclusive, non-transferable right to use it while these terms are in effect.

7. Fees

Paid plans are billed as described in your order or Billing Center. Where billing is not yet active, no charges are made. Fees are non-refundable except as required by law or expressly stated.

8. Demo and sample data

The public demo is provided for evaluation only and uses fictional sample data. It creates no account and persists nothing to any real system.

9. Disclaimers

The Service is provided “as is” and “as available,” without warranties of any kind to the fullest extent permitted by law. We do not warrant that the Service will be uninterrupted, error-free, or fit for a particular purpose. Orderprise is not a substitute for professional accounting, tax, or legal advice.

10. Limitation of liability

To the fullest extent permitted by law, Orderprise will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits or data, arising from your use of the Service. Our aggregate liability for any claim will not exceed the amounts you paid for the Service in the twelve months before the claim.

11. Termination

Subscription cancellation requires 30 days written notice as set out in your service agreement. We may suspend or terminate access for breach of these terms or to protect the Service. On termination you receive a full export of your Customer Data, and we delete it within 30 days of a verified request.

12. Changes

We may update these terms as the Service evolves. Material changes will be reflected by the “last updated” date above; continued use after changes means you accept them.

13. Governing law and contact
